The Role at a Glance:

The Assistant General Counsel will report directly to the Deputy General Counsel and will provide general legal support to the department and the overall business.  As a trusted support partner to client groups and key stakeholders, this position will be responsible for addressing the evolving legal responsibilities that face our organization and provide best in class legal guidance to a variety of internal clients, including senior management and functional support leaders.  This role is for a highly motivated legal professional who desires to work with a collaborative and agile legal team dedicated to thoughtful, strategic, business-focused guidance in a fast-paced environment.

 

This position is remote, based in the US.

 

What you’ll be doing:

  • Support business teams and functional departments with contract negotiations and drafting, including both client contracts and contracts involving vendor relationships

  • Manage and/or assist Elior NA DGC and/or Elior NA GC with Merger and Acquisition activity, as well as limited real estate matters; Work with Business Development team on vetting potential new business area matters

  • Manage internal licensing processes and procedures for liquor and tobacco licensing across multiple jurisdictions, including partnering with local licensing agencies and outside counsel, where necessary, to ensure compliance with state and local laws and ensuring timely completion of licensing activities

  • Assist with management of pre-litigation and litigation matters, as well as other claims, including outside counsel coverage and management, where required, including alignment on case strategy, budget, and case resolution

  • Assist with corporate governance matters, including, but not limited to, drafting and maintenance of internal corporate documents

  • Develop and maintain relationships and collaborative partnerships within the legal team, as well as with senior leadership and business partners throughout the organization in order to serve as a legal advisor on a wide-variety of legal matters affecting the company

  • Stay up-to-date on legal developments affecting the company’s business and proactively identify potential risks and opportunities

  • Serve as strategic and collaborative partner to Elior NA DGC and Elior NA GC on all legal, compliance and regulatory matters

 

What we’re looking for:

  • Juris Doctorate from an ABA accredited law school.

  • A member in good standing of any state bar.

  • Minimum of 8 years of law firm and/or in-house counsel experience supporting operational functions and/or performing commercial transactional work and/or mergers and acquisitions work.  In-house experience strongly preferred.

  • Strong work ethic and ability to adapt to rapidly changing environments.

  • Ability to work independently to complete work and projects in designated areas with minimal supervision

  • Clear communicator with the ability to transform complex legal requirements into practical advice.

  • Ability to quickly assess business challenges, make timely, pragmatic recommendations under pressure, and identify, prioritize and resolve issues quickly and independently.

  • Knowledge or experience with litigation or litigation management strongly preferred, including multiple forums (federal court, state court, arbitration, agency proceedings, etc.).

  • Proficient with Microsoft Office Suite applications including Word, Excel, PowerPoint, and Outlook.

  • Ability to travel up to 10%.
